This Agreement is made between:
Motive Graphics (“Motive”, “we”, “us” or “our”) and The Client (“Client”, “you” or “your”). Together referred to as “the Parties”.
1. Application of Terms
These terms apply to all signage, graphics, printing, production, installation, and related services provided by Motive Graphics. Acceptance of a quotation, purchase order, written approval, or payment of any amount constitutes acceptance of these payment terms.
2. Quotations and Contract Formation
2.1 All quotations are valid for 30 days unless stated otherwise.
2.2 A contract shall only be formed once: The quotation has been accepted in writing or via purchase order; and The required payment has been received in cleared funds.
2.3 Motive Graphics reserves the right to amend pricing where project scope, specifications, artwork, or site conditions change after quotation.
3. Payment Terms
3.1 Standard Projects For signage and graphics projects, 100% payment is required in advance.
a. Full payment is due upon acceptance of the quotation.
b. Production, ordering of materials, or scheduling of installation will not commence until payment has been received in full.
c. Lead times and delivery schedules will begin only once cleared funds have been received.
3.2 Clients with Approved Accounts
Where a client holds an approved credit account or written payment agreement with Motive Graphics:
a. Payment shall be made in accordance with the agreed credit terms.
b. Unless otherwise agreed in writing, invoices are payable within 30 days of invoice date.
c. Motive Graphics reserves the right to withdraw or suspend credit terms at any time if payment terms are not met.
4. Late or Non-Payment
4.1 Motive Graphics reserves the right to
– Suspend production or installation
– Withhold delivery of completed goods
– Delay scheduling of works until all outstanding payments have been received.
4.2 Motive Graphics may charge interest and recovery costs on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Variations and Additional Costs
Any variations, additional works, design changes, or client-requested amendments after acceptance of the quotation may result in additional charges. Where additional costs arise, Motive Graphics reserves the right to require payment prior to continuing the work.
6. Ownership and Retention of Title
6.1 Title to all signage, graphics, materials, and produced items shall remain the property of Motive Graphics until payment has been received in full.
6.2 Motive Graphics reserves the right to withhold delivery, installation, or release of goods until full payment has been made.
7. Project Delays
Motive Graphics shall not be responsible for delays caused by:
– Late payment
– Late provision of artwork or approvals
– Site access restrictions
– Third-party contractors or venue requirements
Where delays occur due to the Client, additional costs may apply
8. VAT
All prices quoted are exclusive of VAT, which will be charged at the prevailing rate at the time of invoicing.
